OVERVIEW

The non-executive director (NED)

Sitting on the main board, the role of the non-executive director is to challenge, question and monitor the CEO and senior management; bringing an independent perspective to decision-making. As well as holding senior management to account, non-executive directors also support and mentor the CEO. They are a “critical friend” and must always act in the interests of the company’s stakeholders.

The NED Accelerator® Programme will give you an in-depth understanding of the NED and the differences between the role of the non-executive director and the executive director.

At a Nedonboard networking event, two professionals in suits engage in a conversation over drinks, discussing business strategies and building connections.

Skills required from NEDs

Prior to appointing a new NED, the nominations committee and the board of directors assess the skills, experience and knowledge that are lacking on the board. In addition, they are looking for a NED to have a robust understanding of the principles of good governance and ethical decision-making; and clear knowledge of the requirements to fulfil your duties as a non-executive director under Section 172 of the Companies Act 2006.

The NED Accelerator® professional qualification awarded by the Institute of Board Members gives you the knowledge and the practical roadmap you need to be appointed as a non-executive.
