Terms and Conditions of Supply

Introduction

This policy tells you the terms and conditions (the “Terms”) on which you purchase the NEDonBoard services, referred in the policy as “Training”, “Event”, “Membership” and “Listing”. By purchasing the NEDonBoard services, you accept the Terms and agree to comply with them. If you do not accept them, please do not process with your registration and purchase.

 

Only services for which specific terms and conditions or contractual terms are agreed between two parties, with the GLOBAL INSTITUTE OF BOARD MEMBERS LTD as one of the two parties fall outside this policy.

Parties

1.1 These Terms are between the GLOBAL INSTITUTE OF BOARD MEMBERS LTD, trading as NEDonBoard, Institute of Board Members (“NEDonBoard”) and the person who completes the relevant registration form (whether or not they are the delegate) (“You”) for the service as described in the form (“Training”, “Event”, “Membership”, “Listing” together the “Services”).

Making a purchase

2.1 Trainings, Events, Memberships and Listing shall be booked through the website http://www.nedonboard.com (the “Website”) or any other website to which NEDonBoard may direct You. 

 

2.2 All purchases shall either be paid for through the Website or any other website to which NEDonBoard may direct You by credit or debit card or via bank transfer.

 

2.3 All purchases are subject to availability and will be confirmed in writing by e-mail after NEDonBoard has received the completed registration form, the related fee if required (“Fee”), and any other information that NEDonBoard may require.

 

2.4 By paying the Fee, You understand and acknowledge that You are accepting these Terms.

 

 

Fees

 

3.1 The Fee for the Services stated on the NEDonBoard website is correct at the time of publication but maybe subject to change from time to time. For the avoidance of doubt changes to the Fee will not affect confirmed registrations. The Fee is payable at the same time as You submit your registration form, payable by credit or debit card or bank transfer.

 

3.2 For in-person Event or Training, the Fee does not include travel to or from the Event or Training or any accommodation costs incurred by the delegate.

 

3.3 VAT applies as stated on our website at the time of purchase.

 

Changes to an Event or a Training

The following provisions do not apply to self-paced online Trainings.

 

4.1 Whilst Event and Training listings are correct at the time of publication, in certain circumstances it may be necessary for NEDonBoard to alter the content, format, venue or timing of an Event or a Training. All delegates will be notified of such changes prior to the Event or the Training.

 

4.2 If You cannot attend an altered Event or Training for which You have registered, please contact NEDonBoard at [email protected] as soon as possible (and in any event no later than 24 hours before the Event or the Training). No refunds will be given, however NEDonBoard shall have absolute discretion to offer You either or both of the following options:

 

4.2.1 allow You to send a substitute delegate in your place (provided that NEDonBoard has received the details of such substitute prior to 24 hours before the Event or Training); or

 

4.2.2 allow You to attend the next available Event or Training (please note NEDonBoard will only allow one deferral of Event or Training date after which all Fees will be forfeited).

 

4.3 In the event that NEDonBoard may need to postpone or cancel an Event or Training for any reason whatsoever, NEDonBoard shall notify You as soon as reasonably practicable of any such postponement or cancellation. You will then be entitled to a refund if You cannot attend the rearranged date (subject to an administrative fee of 3% of the Fee inclusive of VAT).

 

NEDonBoard’s liability to You will be limited to the amount of the Fees You have paid and NEDonBoard will not be liable to You for any expenditure, damage or loss incurred by You as a result of the cancellation or postponement.

 

 

Attending the Event or Training

5.1 Please contact us on [email protected] to advise us of any special requirements prior to making your purchase, including access for in-person Event or Training.

5.2 NEDonBoard reserves the right, without any liability, to refuse You admission or remove You from the Event or Training for failure to comply with these Terms; or if in NEDonBoard’s reasonable opinion You represent a security risk, nuisance or annoyance to the running of the Event or Training.

5.3 You must not make video or audio recordings of the Event or Training or use any recordings or photographs, unless expressly permitted by NEDonBoard.

5.4 You acknowledge that the Event or Training or part of it may be filmed by audio, visual, audio-visual or electronic means or photographed, including photographs of individuals or groups of delegates. You hereby consent to NEDonBoard, (or, if applicable, any third party licensed by NEDonBoard) to use and distribute such footage and photographs, which may contain your images, in all or any media (including social media) whether current or subsequently created, in perpetuity at any worldwide location, for the purposes of advertising, publicity, reporting and otherwise in relation to the exploitation of such recordings and photographs. Please inform the photographer and / or videographer if You do not wish to be included in any individual or group photographs or video footage.

5.5 To the maximum extent permitted by law, NEDonBoard shall not be liable for any kind of loss or damage to You or your personal property, unless caused by our negligence.

5.6 Materials distributed by or on behalf of NEDonBoard are NEDonBoard’s proprietary items and may not be reproduced without NEDonBoard’s permission for any purpose.



If You are not satisfied with an in-person Training

6.1 If You are not fully satisfied with the content provided at the Training, You are entitled to apply for a refund of the Fee, provided that:

6.1.1 You do not stay at the Training longer than 1 hour from the start time of such a session; and

6.1.2 You complete the required form by providing feedback in reasonable detail as to why You were dissatisfied within 24 hours of being sent the form. NEDonBoard shall then have sole discretion to issue a refund to You if NEDonBoard deems this appropriate in the circumstances.



If You are not satisfied with a self-paced Training

7.1 You can apply for a refund within 14 days of purchase, provided that You have not accessed your course material.

7.2 You are no longer eligible to a refund if You have accessed your course material or communicated with any instructors.

7.3 Your refund of the Fee is subject to a 10% administration charge of the Fee inclusive of VAT.

 

7.4. Self-paced trainings are not transferrable.

 

 

If You are not satisfied with an Event

 

8.1 If You are not fully satisfied with the Event content, You shall not be entitled to apply for a refund of the Fee.

 

 

If You are not satisfied with Your NEDonBoard Membership

9.1 If You are not fully satisfied with the Membership content provided by the NEDonBoard Membership upon signing-up, You are entitled to apply for a refund of the Fee provided that:

9.1.1 You complete the required cancellation form and provides feedback in reasonable detail as to why You are dissatisfied;

9.1.2 the required form is completed within 14 days of purchasing the Membership. This excludes renewal;

 

9.1.3 the refund of the Fee is subject to an £50 administration charge. NEDonBoard shall then have sole discretion to issue a refund to You if NEDonBoard deems this appropriate in the circumstances.



9.2 Your NEDonBoard Membership auto-renews, as stated in the registration form and in the membership confirmation email when you join NEDonBoard, Institute of Board Members.

9.3 Should you wish for the autorenewal to not apply, you are required to notify the NEDonBoard team at [email protected] upon signing up or at any point prior to renewal. A reminder of your upcoming renewal and auto-billing is sent to you by e-mail 45 days prior to the renewal date. A 1 full working day notice is required for any auto-renewal to be turned off. Cancellations can only be requested online.

9.4 You shall not be eligible for a refund after the renewal of your Membership.


9.5 A partial refund may be considered under certain limited circumstances such as serious illness. A minimum administrative fee of £50 will apply to any refund.

 

9.6 Your NEDonBoard membership is not transferrable, unless explicitly approved by the NEDonBoard team.



If You are not satisfied with a Listing

 

10.1 If You are not fully satisfied with the Listing, You shall not be entitled to apply for a refund of the Fee.

 

 

Liability of NEDonBoard

11.1 Except as otherwise set out in these Terms and to the maximum extent permitted by law, NEDonBoard shall not be liable to You for any direct, indirect, economic or consequential loss or any loss of business, use, profit, anticipated profit, contracts, revenues, goodwill or anticipated savings arising in connection with this Policy, even if You have been advised of the possibility of such loss or damage.

 

11.2 Except as expressly stated in these Terms and to the extent permitted by law, NEDonBoard makes no representations or warranties regarding the Event, Training, Membership or Listing or any other matter pertaining to these Terms and all warranties, rights, obligations, representations, liabilities, terms or conditions (whether they are oral, written, express or implied or arise in contract, tort, statute or otherwise, and irrespective of the negligence of NEDonBoard or its employees or agents) regarding the Services or any other matter pertaining to these Terms (including without limitation, any relating to satisfactory quality, fitness for purpose, conformity with description or sample, care and skill or compliance with representations, but excluding any implied statutory warranties relating to title) are hereby expressly excluded. NEDonBoard does not warrant that the Services will meet all of Your requirements. Views expressed by speakers are their own and NEDonBoard disclaims all liability for advice given or views expressed during an Event or Training. Materials made available are intended for information only and should not be relied upon.

 

 

Your Details

12.1 By submitting registration details, You agree to allow NEDonBoard to contact You as required for the organisation and administration of the Services. NEDonBoard will comply with our privacy policy in respect of Your registration details and other information NEDonBoard holds about You.

 

11.2 The names, job titles and organisations of all registered delegates will be placed on the delegate list for the Event or Training. This list may will be provided to speakers, course leaders and fellow delegates for the purpose of networking and meetings. Hosting companies will also receive the list for security purposes.

 

11.3 Delegates agree that they shall not, under any circumstances, use the delegate list for their own promotional and marketing purposes or for any purpose not expressly agreed to by the other delegates on the list.

 

11.4 NEDonBoard shall only contact you for marketing purposes, and will only pass on your contact details to sponsoring organisations for marketing purposes, to the extent that you expressly consent to this (for example, during the registration process).

Circumstances Beyond the Control of NEDonBoard

  1. If, due to war, strike, lockout, accident, fire, natural catastrophe or other events or circumstances over which it has no reasonable control, NEDonBoard fails to comply with any obligation to You in the manner and time required under these Terms, it shall not be deemed to be in breach of these Terms and NEDonBoard will not be responsible or liable for any loss or damage which may be incurred by You as a result of such failure.

 

 

General

13.1 These Terms contain the understanding and agreement of the parties and supersedes all previous understandings or agreements between them either in writing or oral, provided that this shall not apply to fraudulent or negligent misrepresentation.

 

13.2 In the event that one or more of the provisions of these Terms are found to be unlawful, invalid or otherwise unenforceable, those provisions shall be deemed severed from the remainder of these Terms. The remainder of these Terms shall be valid and enforceable.

 

13.3 Any failure by NEDonBoard to enforce the performance of any provision in these Terns shall not constitute a waiver of the right to subsequently enforce that provision or any other provision.

 

13.4 A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these terms.

 

13.5 These Terms were last updated on 30 June 2023 and may be updated from time to time.

 

13.6 These Terms and the rights of the parties under it shall be governed by and construed in accordance with English Law. The parties hereby agree to submit to the exclusive jurisdiction of the courts of England and Wales.
