NEDonBoard has the pleasure to welcome back subject matter expects Noona Barlow and Francis Kean from McGill and Partners for an important session on sources of personal liability risk, regulatory investigations, and the actions you can take as a non-executive director to protect yourself, your assets and reputation.
In March 2021 the UK government published a consultation paper called “Restoring trust in audit and corporate governance.” Among other things it proposes “new reporting and attestation requirements covering resilience planning, designed to sharpen directors’ accountability in (…) key management areas within the largest companies.” An obvious challenge for boards is to identify what constitute “key management areas.” The penalty for directors who get this wrong and fail to implement appropriate resilience planning is potential personal liability since courts and regulators have consistently emphasised that company directors cannot delegate or outsource their supervisory functions.
All of this activity is taking place in the context of the already beleaguered D&O insurance market, when directors and companies continue to face ever increasing accountability and an uptick in the frequency and severity of claims, coupled with shrinking coverage and skyrocketing cost.

We will discuss the sources of personal liability risk, regulatory investigations, and the actions you can take as a non-executive director to protect yourself, your assets and reputation.
