Your duty as a director under section 172 is to act, in good faith, in a way that would be most likely to promote the success of the company for the benefit of its members as a whole. The GC100 Guidance on Directors’ Duties outline 3 points:

1. Provide suitable induction training to all new directors and provide refresher courses from time to time.

    

2. Consider what other training or career development is appropriate to extend the skills of the company’s managers and others generally.

    

3. Provide guidance for directors including explanations of directors’ roles, duties, and responsibilities.

The Diploma is an appropriate (and fulfilling) component of a new director onboarding programme. Given the focus of the training course on contemporary boardroom topics, it is also ideally suited as a refresher course for more established non-executive directors and board members.

You should allow for approximately 50 hours to complete the Diploma, paced over a 6-month period.
