What is a non-executive director (NED)?

A non-executive director (NED) is a member of an organisation’s board of directors who is not part of the executive team. NEDs provide an independent perspective, oversee the executive management, and contribute to the company’s strategic direction and governance without being involved in day-to-day operations.

A non-executive director is not involved in the daily operations of the company and primarily provides oversight and strategic guidance, whereas an executive director is part of the company’s management team, involved in the execution of strategies and running the day-to-day business.

To succeed as a first-time non-executive director (NED), you will need a solid understanding of governance and strategic thinking. Boards value expertise in finance, risk, compliance, digital transformation, and other specialist areas, such as sustainability, people management skills, business transformation or change management, IT and other digital skills.

 

However, technical knowledge alone isn’t enough. Essential soft skills like active listening, constructive challenge, and collaboration are equally important. These skills are critical to adding value in your NED job from day one.

Preparation is key to being an effective non-executive director. Enrolling in a dedicated NED training programme helps you build the core competencies required for the boardroom, such as governance, director duties, and how to navigate board dynamics.

The time it takes to land your first NED job can vary depending on your experience, network, and how prepared you are. Well-positioned candidates who complete NED training and follow a structured approach often secure a board role within 3 to 6 months.

 

Key factors that accelerate your success include having a clear value proposition, engaging in strategic networking, tailoring your applications, and earning a qualification that demonstrates you are board-ready. Without the right approach and a “trial and error” strategy, some individuals may take much longer.

The time commitment for a non-executive director varies depending on the size and complexity of the organisation. For example, smaller organisations may require around 5–10 days per year. Larger or listed companies can demand 20–25 days annually or more.

 

Your responsibilities go beyond board meetings. They also include preparation (reading board papers), committee participation (such as audit or remuneration committees), strategy away days, and continuous professional development. You may also be called upon in times of crisis or organisational change. Before accepting a NED job, make sure it fits with your other commitments.

New non-executive directors often face challenges such as:
